These Terms of Service ("Terms") govern the use of PRObroker, a product and platform of Vocal Connect Pvt. Ltd., the domain holder of www.probroker.in (interchangeably referred to as 'We', 'Website', 'Us', 'Our') and the User of this website (referred to as 'You', 'Your'). We duly comply with the Information Technology Act, 2000 (as amended by Information Technology (Amendment) Act, 2008 and the rules made thereunder, including the Information Technology (Reasonable security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 and/or SPDI Rules, 2011. By using Our Website/ Platform or providing information, You accept and agree to be legally bound by the following Terms of Service.
We recommend that You review these Terms of Service carefully before accessing or using the Website. Any new features or tools added to the Website will also be subject to these Terms. The current version of the Terms of Service can be reviewed at any time on this page. We reserve the right to update, modify, or replace any part of these Terms by posting changes to Our Website. Your continued use of the website following such updates constitutes acceptance of those changes.
Our Website is a custom built, which provides us with digital infrastructure to offer Our products and services online in a secure and reliable environment.
IF YOU ARE USING YOUR EMPLOYER OR AN ENTITY'S EMAIL ADDRESS IN REGISTERING FOR OUR SERVICES, PLEASE NOTE THAT YOU ARE DEEMED AS AN AUTHORIZED REPRESENTATIVE AND/OR AGENT OF YOUR EMPLOYER OR ENTITY (AS APPLICABLE).
Contracting Parties and Acceptance:
These Terms of Service ("Terms") govern your access to and use of the PRObroker platform, including www.probroker.in, broker dashboards, tools and services, owned and operated by Vocal Connect Private Limited ("PRObroker", "we", "us", "our").
By accessing or using PRObroker, registering an account, or purchasing any subscription, you agree your use of the platform is also governed by the following policies, as updated from time to time (collectively, "Platform Policies", includes, i) Privacy Policy, ii) Broker Code of Conduct for User, iii) Refund Policy, iv) Content Takedown Policy, v) Disclaimers (as applicable). By proceeding, you acknowledge that you have read, understood and agree to be bound by the Platform Policies which form an integral part of these terms of service. In the event of any inconsistency or conflict between these Terms of Service and any of the Platform policies, the following order of precedence shall apply to the extent of such inconsistency, i) these Terms of Service, ii) the Privacy Policy and iii) the other Platform Policies. Each Platform Policy shall be read as supplementary to, and not derogating from, these Terms of Service.
If you are accepting these Terms on behalf of a firm, organisation or other entity, you represent that you are authorised to bind such entity, and "you" shall include that entity.
Platform Nature and Role:
We are a technology enabled data access and facilitation intermediary that:
- Aggregates, organises and surfaces property related information sourced from public, public (semi) and internal sources.
- Provides tools and dashboards for brokers to access such property information, manage leads and collaborate.
- Enables discovery and contact between brokers and property owners or other brokers.
PRObroker is not:
- A party to any property transaction, sale, lease, license or financing arrangement.
- A property broker or agent representing either side in any transaction.
- A guarantor of property title, legality, approvals, encumbrances, zoning compliance or suitability.
All transactions, negotiations, documentation and diligence relating to properties are undertaken solely between users and/or third parties, at their own risk and responsibility.
Modification to platform Policies: We reserve the right to modify or update these Terms at any time. Changes will be effective upon posting on the Website, and We will notify You through a special notice on the Website (if there is a major/ significant change). Your continued use of the Website after such updates constitutes Your acceptance of the revised Terms. It is Your responsibility to review these Terms periodically. If You disagree with any future updates or modifications to these Terms, You may stop using the Website and Withdraw Your consent. To delete Your account or remove Your data, please contact Our support team at [email protected]. Your use of Our Website is governed by these Terms of Service, alongside Our Privacy Policy, Refund Policy, Content takedown Policy and Broker Code of Conduct.
No Verification/ No Transaction Guarantee:
Unless expressly specified on a particular listing, PRObroker does not independently verify:
- The existence, ownership, title, legal status or approvals of properties.
- The accuracy, completeness or currency of property attributes, prices or availability.
- The identity, reputation, solvency or intentions of any user, broker, property owner or third party.
Any reference to "verified" leads or "direct owner" information reflects internal checks limited to source consistency and contact responsiveness and does not constitute legal or title verification.
We do not guarantee that any property will be available, that any negotiation will result in a transaction, or that any transaction will close on specific terms. There is no success-based entitlement, commission guarantee or outcome assurance.
User Responsibilities:
You must be competent to contract under the Indian Contract Act, 1872 and authorized to represent your business.
You are responsible for:
- Maintaining the confidentiality of your login credentials, not sharing the same for a qualitative or quantitative gain to any third party.
- Ensuring that only two authorised personnel of your firm/ business access your account.
- All activities that occur under your account, whether by you or your authorised personnel.
We may refuse registration, suspend or terminate accounts at our discretion where we suspect misuse, breach of these Terms, or regulatory risk.
User Obligations:
You agree not to:
- Upload, post, host or transmit any content that is illegal, defamatory, obscene, misleading, offensive, infringing, fraudulent, intentionally uploaded to defame Us or otherwise prohibited under applicable law or these Terms.
- Misrepresent any property, your identity, your authority to act, or any material information in property listings or communications. You shall not use any AI machine learning models or AI driven tools to process or analyze Website data without explicit written permission.
- Use the platform to harass, intimidate, threaten or abuse any person.
- Use automated scripts, bots, scraping tools, or other technical means to access, harvest, index or download property data, beyond what is explicitly permitted under your subscription and our Data Usage Policy.
- Circumvent or attempt to circumvent any access controls, code based gating, or sheet-based permissions implemented by Us.
- Resell, redistribute, sub-license, mirror, frame, or provide bulk access to property data or the platform to unregistered third parties.
- Create derivative databases or platforms that replicate, compete with, or substantially draw from Our property datasets or tools.
- Upload any malicious code, malware or engage in activities that may damage, disable or overload our systems. You must not attempt to reverse-engineer, decompile, or extract source code from the Website for any purpose. Your use of the Website must not violate any applicable local, state, national or international laws.
- Use property contact information obtained from Us for spam, bulk unsolicited communications or any purpose contrary to law or user expectations.
- Remove, obscure or alter any copyright notices disclaimers.
Intellectual Property Rights:
Our Website and PRObroker platform and services offerings under the name of 'PRObroker' trade names, trade marks, copyrights are solely and exclusively owned by us. Our contents and materials are protected by copyright, trade dress, trade secret, trademark laws, international conventions and treaties, and all relevant intellectual property having validity in the Indian borders. Except as specifically permitted under these Terms, Your access of Our Website or use of Our product and materials does not grant any ownership or intellectual property rights. Additionally, any commercial distribution, publishing, or other exploitation of Our materials, data representation methods exhibited on the Website is prohibited unless expressly authorized by us. You shall not use Our trade names or trademarks in a manner that disparages or misrepresents Us or Our products and services. We reserve all rights to Our services, platform, trade names and trademarks and the same is not granted in any manner in these Terms. Users agree to comply with all applicable laws as well as Our platform policies while using PRObroker platform.
In the event of any breach of Clause 8(a), including but not limited to unauthorized reproduction, misrepresentation or exploitation, We reserve the right to (i) Immediate termination of access to your Use, (ii) injunctive relief to prevent further misuse of Our intellectual properties, iii) pursue necessary, appropriate and available legal actions against the infringer.
Subscription Plans:
Access to features, datasets or dashboards may require a paid subscription plan. Subscriptions may be monthly, quarterly, half yearly or even annually, available upon request. Details of pricing, scope and duration will be presented at checkout.
Subscription access is implemented through role based/ code based gating/ sheet based gating, including:
- Unique codes or account flags enabling access to particular sheets or datasets.
- Distinct admin and sub-admin access levels within your organisation.
- Limits on concurrent sessions, devices or volume of accessible data.
All subscription fees are payable in advance and are non-refundable, except in the limited circumstances set out in the Refund Policy.
You are responsible for verifying that the subscription type and scope meet your business needs before purchase. Absence of transactions, deals or specific outcomes does not entitle you to any refund or credit.
Data Access Licence Restrictions:
Subject to your compliance with these Terms and applicable Platform Policies, We grant you a limited, non-exclusive, non-transferable, revocable licence to:
- Access and use the platform interfaces made available to you.
Platform Availability and Changes:
While we strive for high uptime and reliability, Our platform is provided on an "as is" and "as available" basis, without any warranty of uninterrupted or error free service.
We may from time to time modify, enhance, or discontinue features, add or remove property datasets, perform maintenance and updates that may temporarily impact availability.
Where reasonably possible, we will schedule planned downtime during off peak hours.
Third-Party Services and Links:
The platform may contain links to third-party websites or integrations (including, for example, payment gateways, map providers (in future, if not now, or external property sources). We do not control, endorse, or assume responsibility for any third party sites or services, their content or practices or any data processed once you leave our controlled environment.
Limitation of Liability:
To the maximum extent permitted by law, PRObroker and its directors, officers, employees, affiliates and agents shall not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, including loss of profits, data, goodwill or business opportunities, arising out of or in connection with:
- Your use of or inability to use the platform.
- Any property transaction or dealings between you and any third party.
- Any inaccurate or incomplete property data, delayed updates, or missing listings.
- Any unauthorised access to or alteration of your transmissions or data (except to the extent caused solely by our gross negligence).
- Any events beyond our reasonable control.
Our aggregate liability for all claims arising out of or relating to the platform, whether in contract, tort or otherwise, shall not exceed the total subscription fees actually paid by you immediately preceding the event giving rise to the claim. The claim is necessarily subject to identification of our fault only which can be known post thorough investigation of the raised issue/matter. If no fault is identified, the raised issue/ matter shall be closed with a closure report.
Indemnity:
You agree to indemnify, defend and hold harmless PRObroker and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms or any Platform Policies.
Intermediary Role and Safe Harbour:
PRObroker operates as an intermediary under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, to the extent applicable.
We do not initiate the transmission of user generated content, select the receiver of the transmission or modify information contained in the transmission, except for automatic, temporary storage.
We will observe due diligence requirements under the IT Rules, including publishing rules and regulations, terms of use and a Grievance Redressal Mechanism, and will act on actual knowledge of unlawful content in a timely manner, consistent with our Content Takedown Policy.
Termination and Suspension:
We may suspend or terminate your access (in whole or part) without notice if:
- We reasonably suspect or detect misuse, scraping, bulk export or data security risks or any other illegal or harmful activities.
- You breach these Terms, any Platform Policy, or applicable laws of India.
- User provides false, misleading, or fraudulent information during registration or while using the Website.
- Required by law enforcement, regulatory directions or court orders.
You may terminate your use of the Website at any time by i) Ceasing to access or use the Website, ii) providing written notice to Us for account deletion (if applicable), iii) ensuring that any outstanding obligations are completed before termination.
On termination, your licence to use the platform and property data immediately ceases. We may retain necessary logs and records for legal and security purposes. Termination does not entitle you to refunds, except, if mentioned in our Refund Policy.
Governing Law and Dispute Resolution:
These Terms are governed by and shall be construed in accordance with the laws of India.
Any dispute, controversy or claim arising out of or relating to these Terms, the platform or any subscription, shall be resolved as follows:
- Before initiating formal arbitration, the parties shall first attempt in good faith to resolve any dispute, claim, or controversy arising from or related to the Platform Policies through informal negotiations. Either party may initiate such negotiations by providing written notice to the other party. If We and the User cannot resolve the dispute within (30) thirty days of receiving the notice, the matter shall be referred to arbitration as set forth below.
- Failing such resolution, disputes shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996.
Arbitration Procedure: The seat of arbitration shall be Ahmedabad, India, unless there is a mutual agreement to another location. This arbitration will be conducted in English. The arbitral tribunal shall consist of a sole arbitrator appointed by Us. The final apportionment of costs shall be determined by the arbitrator in the arbitral award. The arbitral award shall be final, binding and enforceable in the court of appropriate jurisdiction. Subject to the above arbitration clause, courts at Ahmedabad, Gujarat shall have exclusive jurisdiction for interim reliefs and enforcement, as required.
Force Majeure:
We shall not be liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, civil unrest, epidemics, pandemics, lockdowns or government imposed restrictions, power outages, telecommunication failures, internet backbone failures, DNS malfunctions, or widespread cloud provider outages, cyber attacks, distributed denial of service (DDoS) attacks, zero day vulnerabilities, or widespread malware incidents, regulatory or judicial orders requiring suspension or modification of services, sudden changes to data or technology regulations, strikes, labour disputes or shortages of key services.
We will use reasonable efforts to mitigate the impact and restore services but will not be deemed in breach while such conditions persist.
Miscellaneous:
Relationship of Parties: Nothing in these Terms of Service shall be construed to create a partnership, joint venture, agency, or employment relationship between You and PRObroker. Neither Party has the authority to bind the other in said manner.
Severability: If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
Entire Terms of Service: These Terms of Service, including the Privacy Policy and any other legal notices published by PRObroker, constitute the entire agreement between You and PRObroker regarding Your use of the website and services, superseding any prior agreements.
Assignment: You may not assign or transfer any rights or obligations under these Terms of Service without the prior written consent of PRObroker. We may assign or transfer its rights and obligations without restriction.
Notices: Any notice, request, or communication under these Terms of Service must be in writing and shall be deemed duly given if delivered personally, sent by email address to the Grievance Officer or such other address as either Party may designate in writing from time to time. Notices shall be deemed effective upon receipt or, if mailed, after 72 working hours from the date of mailing.
By providing your contact details, you consent to receive promotional alerts, RCS messages, and WhatsApp notifications from PRObroker. You may opt out of receiving such communications at any time by following the unsubscribe instructions in the message or by contacting us directly.
